Terms and Conditions Effective Date: 1-1-2025

Welcome to akhtarsitsolutions.com (the “Site“), operated by Akhtars IT Solutions (AKITS or “We“). By accessing or using this Site, the services offered, or any related applications (“Services”), you agree to be bound by these Terms and Conditions (“Terms”). 

If you do not agree to these Terms, you must immediately stop using the Site and our Services.

1. Definitions

  • We / Us / Our / AKITS: Akhtars IT Solutions.
  • You / Your: Any person or entity accessing or using the Site or Services.
  • Services: All web and software development, mobile application development, ERP solutions, AI-powered products and services, digital marketing solutions, consulting, and other professional services offered by AKITS.
  • Content: All text, visuals, code, data, designs, and materials available on the Site.
  • AI Services: Any Service utilizing artificial intelligence, machine learning, or similar technologies provided by AKITS.

2. Acceptance and Agreement

By using the Site, you represent that you have read, understood, and accepted these Terms and agree to comply with them.

3. Use of Site and Prohibited Conduct

You agree not to use the Site or Services to:

  • Post, upload, or transmit any content that is unlawful, harmful, defamatory, or violates the rights of others.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  • Upload malware, viruses, or any malicious code intended to harm or disrupt the Site or data.
  • Use the Services or AI Services for any fraudulent, illegal, or misleading activity.
  • Attempt to reverse engineer, decompile, or otherwise discover the source code or underlying structure of our software, Services, or AI Services.

4. Intellectual Property and Ownership

4.1. Site Content

All Content on the Site is owned by Akhtars IT Solutions(AKITS) or licensed to us and is protected by intellectual property laws. You may not copy, modify, distribute, or reuse any Content without our explicit written permission.

4.2. Client and Project IP

The specific ownership and licensing of all Intellectual Property (IP) created during a Service engagement (e.g., custom code, designs, AI models, marketing materials) will be explicitly defined in a separate, written Service Agreement or Statement of Work (SOW) between AKITS and the Client. 

Unless explicitly transferred in writing, AKITS retains ownership of all pre-existing tools, methodologies, and internal knowledge incorporated into the deliverables.

4.3. Search Engine and AI Use

You acknowledge that while our digital marketing and AI Services are designed to improve performance, we cannot guarantee specific search engine rankings, placement, or outcomes. You agree that any results generated by our AI Services are provided “as is” and AKITS makes no warranty as to the accuracy, completeness, or non-infringement of AI-generated output.

5. Services and Client Engagement

  • Proposals and SOWs: All engagements for Services will be governed by a separate, detailed written proposal or Statement of Work (SOW), which will outline the scope, pricing, terms of payment, project timelines, and specific IP rights.
  • AI Services Disclaimer: By using our AI Services, you understand that these systems are complex, may produce errors, and the output may not always be current or complete. You are responsible for independently reviewing, verifying, and validating all output from AI Services before public use.
  • AKITS reserves the right to update, modify, or decline any request for Service at our discretion.

6. Limitation of Liability

The Site and Services are provided on an “as is” and “as available” basis.

AKITS will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, data, or other intangible losses, resulting from:

  • The use or inability to use the Site or Services.
  • Any errors or inaccuracies in the output of our Services, including AI Services.
  • Unauthorized access to or alteration of your transmissions or data.
  • Your failure to secure necessary licenses or permissions for content you provide to us.

Our total cumulative liability to you for any and all claims related to the Site or Services shall not exceed the amount you paid to AKITS, if any, for the specific Service giving rise to the claim in the six (6) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless AKITS, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site or Services; (b) your violation of these Terms; or (c) any content or data you submit or provide to AKITS.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be settled by binding arbitration in Rawalpindi, Pakistan, in accordance with the rules of a recognized arbitration body agreed upon by both parties. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

9. Updates and Changes

AKITS reserves the right to revise these Terms at any time by posting the updated Terms on the Site. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms. The Effective Date at the top of this page will indicate when the latest revision took place.
